Confidentiality and Non-Disclosure Agreement

1. This agreement is effective of this____________________ and is made by and between {Data Recovery services, inc.} ("DRS, inc"), a company with a mailing address of P.O. Box 2066, Washington, DC 20013, and _______________________ of mailing address___________________________ ("Disclosing Party,")

2. It is contemplated that disclosing party may be required to disclose certain confidential information ("Information") to DRS, inc as a result of DRS, inc or its agent's efforts to recovery data from the disclosing party’s damaged____________________________.

3. DRS, inc agrees that all information shall be reviewed only for the purpose of data recovery, for the disclosing party.

4. DRS, inc agrees to maintain the information in confidence during operations, and archival periods, and not to disclose any portion of the information to any third party without prior written consent of the disclosing party.

5. Information shall not be afforded the protection of this agreement if such information:

  1. Becomes publicly available through no reasonable fault of the DRS, inc;
  2. Is disclosed to DRS, inc by a third party, who has a right to disclose such information, without restrictions on disclosure or use, or;
  3. Was known to DRS, inc prior to the date it received such information from the disclosing party and is not subject to other restrictions on disclosure or use.

6. All information disclosed under this agreement shall remain the property of the disclosing party

7. DRS, inc hereby agrees to reasonably destroy all archives of the disclosing party's information, after the disclosing party has clearly notified that such information should be destroyed, or a reasonable transfer period has transpired.   This transfer period is usually 10 working days.

7. This agreement is binding DRS, inc and its assigns and successors.
